1. Ownership of Intellectual Property

– Any intellectual property (IP)—including but not limited to software code, designs, documents, and deliverables—created by Logicbric during a project remains the property of Logicbric until full payment is received.

– Upon receiving full payment, ownership of the IP specifically developed for the client will be transferred, unless otherwise specified in the contract.

2. Scope of Transfer

– The IP rights transferred apply only to the deliverables detailed in the signed agreement. Pre-existing IP, tools, libraries, or software owned by Logicbric that are used but not developed specifically for the client remain the property of Logicbric.

– However, clients will receive a perpetual, royalty-free, transferable license to use any such pre-existing IP within the scope of the project.

3. Moral Rights

– While ownership of the IP is transferred, Logicbric retains moral rights to be recognized as the original creator of the work, unless otherwise agreed in writing.

4. Third-Party Software

– This policy does not apply to third-party software, libraries, or tools used within the project. The use of such third-party elements will be governed by their respective licenses. Logicbric ensures legal compliance when integrating these into any project.

5. Client Responsibilities

– Once the IP is transferred, the client assumes full responsibility for the use, modification, and distribution of the deliverables. Logicbric will not be liable for any misuse, modification, or unauthorized distribution post-transfer.

6. Confidentiality

– Logicbric is committed to safeguarding any proprietary or confidential information provided by the client throughout the project. Likewise, the client is expected to maintain the confidentiality of any sensitive information shared by Logicbric.

7. Governing Entities by Jurisdiction

– This policy is governed by the specific legal entity under which the services are provided, as outlined in the service agreement. Depending on the client’s location, the following entities will apply:

In the USA : Logicbric LLC
In the UK: Logicbric Limited
In India: Datayum Technolabs LLP

8. Dispute Resolution

– In the event of any dispute related to IP rights, Logicbric and the client agree to resolve matters through good-faith negotiations. Should a resolution not be reached, the dispute will be handled in accordance with the governing law specified in the signed contract.

9. Policy Amendments

– Logicbric reserves the right to update or modify this IP Right Transfer Policy at any time. Changes will take effect immediately upon posting on our website. Clients are encouraged to review this policy regularly.
